Corporate Advisory

Rigorous numbers and sound judgement for the decisions that shape your business — buying, selling, raising capital, entering a new market or strengthening control.

  • Pakistan
  • United Arab Emirates
  • United Kingdom
  • Saudi Arabia

Overview

Big decisions deserve rigorous analysis. We build the business case, test the assumptions, value the opportunity and look closely at the business you are buying — so you decide with clarity. Because our practice also covers tax, corporate law and regulation in Pakistan and the Gulf, our advice reflects what happens after the deal: the tax cost, the approvals and the integration work.

For investors entering Pakistan, we coordinate the regulators involved — SECP, FBR, the Board of Investment and the State Bank through your bank — and for Pakistani businesses expanding abroad we map the route into the UAE, Saudi Arabia or the UK. Our governance and assurance work gives boards and owners confidence that the business runs the way they think it does: internal audit, risk and controls reviews are planned on a risk basis with reference to the IIA's Global Internal Audit Standards and the COSO frameworks.

This assurance work is non-statutory. Statutory audits under the Companies Act, 2017 are performed by audit firms registered with ICAP; we work alongside them.

Delivered from our Karachi head office for clients across Pakistan, the Middle East, Europe and the USA.

FAQs

Common questions

Do you perform statutory audits?

No. Statutory audits under the Companies Act, 2017 must be performed by a firm of chartered accountants registered with ICAP, and abroad by locally licensed auditors. We provide internal audit, controls reviews, due diligence and audit-readiness support, and work alongside your statutory auditors.

What is the difference between internal and external audit?

External (statutory) audit gives an opinion on the financial statements for shareholders. Internal audit looks forward and inward: it reviews processes, risks and controls throughout the year and helps management improve them.

Branch, liaison office or subsidiary — which is best for entering Pakistan?

A liaison office can only promote and liaise, not earn revenue. A branch can trade but is taxed as part of the foreign company. A subsidiary company is a separate Pakistani entity and is the most flexible for most investors. We compare all three for your situation. Read Business setup in Pakistan for foreign investors.

Can you help us set up in the UAE or Saudi Arabia?

Yes. We advise on structure — mainland, free zone, DIFC or ADGM in the UAE, or an entity registered with MISA under the Investment Law in Saudi Arabia — the registration and licensing steps, and the tax, accounting and HR obligations that follow. Our team works from our Karachi head office and coordinates with locally licensed providers for any filing that must be made locally.

How long does a due diligence take?

A focused financial and tax due diligence on an SME usually takes two to four weeks, depending on how quickly information is available.

Will banks accept your feasibility studies?

Our studies are written to the standard lenders expect — market analysis, assumptions, projections, sensitivities and repayment capacity — and we support you in discussions with the bank.
